Description: The Corporate Counsel will serve a key role in supporting the day-to-day legal needs of the company, with a focus on advising on and managing the company’s commercial transactions, including licensing, collaboration, supply, sales, manufacturing, and development agreement, and supporting an array of other matters, including employment and SEC reporting compliance. This position will report directly to the Company’s Chief Legal Officer and will also work closely with the Chief Science & Technology Officer and in-house intellectual property counsel. This position offers the unique opportunity to have high visibility with and access to the executive leadership team in a high growth technology-based manufacturing company as well as the opportunity for increased scope of responsibility commensurate with demonstrated performance.

Fundamental Components:
  • Serve as corporate counsel across multiple functional disciplines, including sales, research and development, and manufacturing groups.
  • Draft, review and negotiate a wide range of commercial contracts, including customer agreements, supply agreements, licensing agreements, joint development / research and development agreements, non-disclosure and material transfer agreements and other commercial or corporate agreements.
  • Administer the company’s contract management and contract approval process.
  • Provide accurate, timely and business-savvy legal advice across a wide variety of corporate functions, including human resources, finance and accounting, research and development, sales, and manufacturing.
  • Assist Chief Legal Officer with corporate secretary duties and SEC reporting obligations.
  • Support the development and enforcement of company policies and procedures to ensure legal and regulatory compliance.
  •   Performs other related duties as assigned. 
Required Background/Education/Experience:
  • Demonstrated ability and confidence in contract review, drafting, negotiations and administration.
  • Intellectual curiosity and eagerness to broaden legal expertise across multiple practice areas and functional disciplines.
  • Sound judgement and ability to analyze situations and information to develop and provide practical, fact-based, business-oriented legal advice.
  • High emotional intelligence and adaptability to different work styles.
  • Ability to multitask and prioritize effectively in a fast-paced and dynamic work environment.
  • High degree of professional ethics and integrity.
  • Outstanding communication skills.
  • Juris Doctor (JD) degree from an accredited law school and active state bar license
  • Minimum of 3-5 years of relevant legal experience (law firm and/or in-house) with a strong background in corporate transactions and commercial contracts; relevant experience in SEC reporting, intellectual property licensing and portfolio administration and/or employment law is strongly desired.

Percent of Travel Required: 0-10%

Description:The Paralegal will assist the Chief Legal Officer and Chief Science & Technology Officer, as well as other attorney(s), corporate scientists, and the sales team, by providing administrative and research support services, including contract preparation, review, and negotiation; administering the company’s materials sampling process in support of the sales and R&D teams; and supporting the management of the company’s extensive intellectual property portfolio.  The Paralegal must demonstrate a keen attention to detail and possess strong analytical skills to analyze contracts.  Previous experience in contract management and familiarity with corporate and intellectual property legal terms and agreements are highly desirable.  Opportunity to increase scope of responsibility commensurate with demonstrated skills and abilities.

Fundamental Components: 
  • Meets with in-house attorneys, scientists, and sales team to discuss matters within the scope of responsibility.
  • Prepares legal documents using standard forms and templates; performs preliminary contract reviews and assesses changes proposed by counterparties.
  • Drafts other basic legal documents under supervision of in-house attorneys.
  • Prepare and file basic SEC filings under supervision of the Chief Legal Officer.
  • Administers corporate contract review and approval process; analyzes contracts to ensure they comply with corporate policies and standards.
  • Assist with managing equity awards using on-line software applications.
  • Prepares, organizes, stores and retrieves company contracts.
  • Performs other related duties as assigned. 
Required Background/Education/Experience:
  • Must have strong analytical thinking skills and problem-solving abilities.
  • Possesses superior attention to detail and ability to review and assess basic contracts to identify and help resolve issues.
  • Ability to maintain confidentiality, and to exercise discretion and good judgment.  
  • Understanding of legal language and principles, research methods, contract management processes, and other related matters. 
  • Excellent verbal and written communication skills.
  • Ability to work productively both independently and as part of a team.
  • Excellent interpersonal and customer service skills.
  • Excellent organizational and time management skills with a proven ability to meet deadlines.
  • Proficient with Microsoft Office Suite; ability and willingness to quickly adapt to new software applications that will enhance corporate processes, including contract management platforms.
  • Bachelor’s degree in Paralegal Studies, business administration, legal studies or related field preferred.
  • 3+ years' experience in a corporate or intellectual property paralegal role or in a contract administration role.
